Not Business As Usual
Securing funding for future growth and reaching a successful exit are intense, long lead projects.
Before receiving MOUs, LOIs and negotiating terms, companies must get ready for the process or risk being caught unprepared, raising questions, causing delays and endangering the outcome.
Financial projections, scenarios, breakdowns and analyses; strategy rationalizations, business plans and market positioning; industry facts and trends; regulatory considerations, transaction marketing materials; leadership team backgrounds... – all these and more need to be fully understood and tell a consistent story in favor of an anticipated transaction.
Only then can the investment bankers come in to do their work effectively.
Who can identify, coordinate and perform all this work when resources are already stretched thin?
Transaction Readiness
We manage everything your company needs to be ready for prime time
Objectives Validation
We review the company's objectives & plans for the transaction, and assess them with regard to industry situation, company strategy, business plan, capital structure, recent performance, financials and other factors.
Narrative Development
We tie together trends in the industry, the business' competitive positioning, financial performance, strengths & strategy into a story that is credible, appealing and consistent with the transaction objectives.
Marketing Materials
We write and prepare a set of attractive documents (typically a teaser and a Confidential Investment Memorandum), rooted in the facts and logic of the narrative to support the company and its investment bankers in their solicitation of interest.
Financial Modeling
We refine financial models where necessary to support industry and/or financing metrics, scenario planning, valuation analysis, returns analysis, etc.
Preliminary Due-Diligence
We prepare the company to answer the questions and provide the materials necessary to allow an interested party to provide an LOI.
Management Presentation
We prepare and rehearse the company’s functional leadership team to successfully present the business to investors/acquirors and constructively answer their questions.
Meet (y)our Team
We started Silicon Road because we've seen founder- or family-owned and private-equity-backed companies leave value on the table in financing and exit transactions. There is a gap between what management can do and the financial/strategic solicitation and negotiation work of investment bankers. That's where we come in – to get everything ready for what may be the most crucial moment in the company's life.
We're a team of principals combining strategy consulting and investment banking pedigrees with real world operational experience. We understand what it takes to get things done in your company and how to leverage your team and transfer our skills.
